2008 Contract

We at Action Tax & Bookkeeping Services LLC (hereafter
referred to as Action Tax & Bookkeeping) would like to
welcome your new office. We look forward to working with you and
helping you to make your office a great success. We would like
you to review and sign this contractual agreement with Action
Tax & Bookkeeping and return with your set up fee. Software
will not be shipped until full payment is received. This
contract is in effect for a one year period only.
Part 1:
1. You agree to pay the following fees as a member of our
" Home Office Program".
$975 * + $20.00 S&H Fee
This fee provides you with a one year membership in Action
Tax & Bookkeeping's "Home Office Program". This
includes, tax software needed for personal tax preparation for
Federal and all states, Business return software, electronic
filing, RAL & Bank product set up, training and marketing
ideas provided by our company. This fee is paid annually and is
subject to change. If you choose to renew your contract with us
next season, you will be notified of such changes as soon as
they become available to us.
No software will be shipped with out payment in full. A
shipping fee of $20.00 must be included with your
payment. Software will not be shipped with out your
shipping fee.
2. You agree to participate in the Electronic filing program
and will obtain a current EFIN# with the IRS. Applications can
be submitted starting in August.
3. This season there will be FREE E-filing with
only Bank product fees charged. You agree to pay a fee of $6.00
per RAL or Bank Product. Accounts not paid in a timely
manner will be subject to deactivation. Any balance remaining
past 30 days is subject to a $5.00 late fee and a 1.2% finance
charge per month.
4. If your office chooses to participate in the RAL program
an application to the participating Bank will be submitted for
approval with your office information. You will need to provide
your bank deposit information to receive your tax preparation
fees. We reserve the right to withhold any fees on past due
accounts. You also agree to return any unused check stock and
client applications to the Bank per their requirements at the
end of tax season. This includes all voided checks. You also
agree to follow all applicable requirements set forth by the
bank. You MUST have a Laser printer to offer RAL & Bank
products.
5. Business returns will be included in the main package set
up at no additional cost. This includes your Federal &
available State forms.
5. You are permitted to make use of the name Action Tax &
Bookkeeping Services for your business if you choose to do so.
You are also free to use your own business name. You agree to
use the name of Action Tax & Bookkeeping Services only while
associated with Action Tax & Bookkeeping and performing the
type of work associated with our business, ie; tax preparation,
electronic filing, bookkeeping services. If you choose to use
your own business name, you agree to display a sign in your
place of business indicating that you are working in association
with Action Tax & Bookkeeping Services. You also agree to
discontinue the use of the name Action Tax & Bookkeeping
Services should our association be terminated.
7. You agree to conduct your business and maintain records as
outlined by the IRS and your State Tax Commission. You also
agree to follow all state and local laws regarding this type of
business in your area.
8.You agree that in the event you choose to expand your
business in the same manner as Action Tax & Bookkeeping,
existing Action Tax & Bookkeeping Services contracted
offices will be excluded from solicitation for a period of at
least 36 months.

terms set forth in this contract between my self and Action Tax
& Bookkeeping Services on _______(date). Please see part 2.
Part 2:
Part 2 of this contract consists of what we at Action Tax
& Bookkeeping Services agree to provide you as long as your
associated office continues to operate.
1. We agree to provide you with quality tax software and
electronic filing and in a timely manner for tax season in
accordance with the terms outlined in Part 1 of this agreement.
You are expected to load and test your software as soon as
possible after receiving it. Each computer system is different
and may need individual attention to get it up and running
properly. This help will be provided to you from Action Tax
& Bookkeeping Services and the technical support department
of our software distributor. Refunds are not issued on already
received software. In the case of a shipment of bad disks, a new
set of disks will be sent. NO REFUNDS will be issued after
October 1st of 2007.
2. We agree to advise and assist you in establishing your
client base. We will provide you with ideas and marketing
materials for you to make copy of.
3. We agree to provide you with training and assistance in
the preparation of tax returns, electronic filing and the use of
the provided software. We also agree that if a return becomes to
complicated to handle by phone or E-mail, you may send the
return to us for preparation and it will be returned to you. A
counseling fee may be charged for returns sent to us for
preparation, but the fee will be agreed upon by both parties on
a per return basis.
4. We agree not to set up another associated Action Tax &
Bookkeeping Services office in an area of your existing business
which would cause you competition for your client base. Unless
requested and agreed upon by all parties.
5. Although you will be operating as a satellite office of
Action Tax & Bookkeeping, you will remain an independent
operator. This is your business and you are responsible for all
related expenses to your business such as advertising,
equipment, maintenance, supplies and long distance phone
charges. As we will also cover our own expenses when making
contact with you. Taxes on your income is also your
responsibility. You are responsible for the accuracy of your
provided services ie; tax preparation, bookkeeping, payroll,
etc. Action Tax & Bookkeeping Services will not be held
responsible for any errors or omissions on work that your office
performs and will not be liable for any fines, penalties or
suits that may result thereof. There may be times in which a
technical issue arises that we are not able to handle and it
will become necessary to contact the software vendor. You will
be responsible to make this contact if needed. However we agree
to attempt to resolve any issue to the best of our ability.
Training and software issues will be handled via e-mail,
telephone, fax or regular mail. You will be provided access to
the main offices and selected staff for this support.
A signed Contract must be sent before software is shipped.
Action Tax & Bookkeeping Services agrees to the terms set
forth in this contract between ourselves
